What does a pharmaceutical buyer actually acquire when it buys a company built with computational drug discovery? A platform story may attract attention. An asset with a specific development path is what the buyer has to underwrite.

On April 27, 2026, Lilly announced an agreement to acquire Ajax Therapeutics. The stated consideration was up to $2.3 billion, including an upfront payment and contingent clinical and regulatory milestones. Ajax’s lead program, AJ1-11095, was in Phase 1 at announcement. The buyer was taking on substantial development uncertainty.[1]

Schrödinger was a founding collaboration partner behind Ajax’s computational discovery work. It was Ajax that was acquired, not Schrödinger. Lilly’s subsequent financial release confirms completion in the second quarter of 2026.[2]

Our reading: the useful lesson is how a capability becomes an asset, and how that asset acquires strategic relevance to a particular buyer. Those are distinct steps, with different capital needs and different owners of risk.

One detail changes the interpretation: Lilly described itself as a founding strategic investor in Ajax. This was a relationship that predated the acquisition announcement.[1] For an executive evaluating financing or a partnership, that raises a more useful question than “What is our AI premium?”
